Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the YoCierge website (the "Service") operated by YoCierge Inc. ("us", "we", "our", or "the Company").

Your access to and use of the Service, in conjunction with the Company's Privacy Policy ( Privacy Policy) is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. IF YOU DO NOT AGREE TO ABIDE BY THE TERMS HEREIN OR THE DATA PRACTICES DESCRIBED IN THE COMPANY'S PRIVACY POLICY, THEN PLEASE CLOSE YOUR BROWSER IMMEDIATELY AND DO NOT USE OR ACCESS THE SERVICE.

In no event will the Company be liable, whether in contract, warranty, tort (including negligence—whether active, passive, or imputed), product liability, strict liability, or other theory to you or any other person for any damages (including, without limitation, any indirect, incidental, special, or consequential damages) arising out of or in connection with the use of, inability to use, or results of use of the Service or any materials related to or associated with the Service, even if the Company or its representative has been advised of the possibility of such damages.

Purchases

If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase, including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct, and complete.

Accounts

When you create an account with us, you guarantee that you are above the age of 18 and that the information you provide to us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Our Service may contain links to third-party websites or services that are not owned or controlled by YoCierge Inc. YoCierge Inc. has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

YoCierge Patient Facing Record Retrieval App

In addition to, or as part of, the Service, you may use the "YoCierge Patient Facing Record Retrieval App" ("the App"). Your use of the app is strictly governed by these Terms and Conditions, and you explicitly agree to abide by the Terms herein in your use of the App.

User Rights Regarding Personal Data

YoCierge is committed to protecting your personal data and ensuring compliance with applicable privacy standards. You have the following rights concerning your personal data:

Right to Change or Annotate Personal Data:
  • You have the right to request changes or annotations to your personal data to ensure its accuracy and completeness.
  • Requests to change or annotate personal data may be submitted by emailing us at legal@yocierge.com.
Right to Disclose Portions of Personal Data:
  • You may choose to disclose specific portions of your personal data to authorized third parties.
  • To facilitate such disclosures, you must submit a written request that includes details of the data to be shared and the identity of the authorized recipient.
  • Once verified, YoCierge will assist in securely facilitating the disclosure process.
Communication of Updates to Downstream Recipients:
  • If you request changes or annotations to your personal data, YoCierge will communicate these updates to any downstream recipients previously authorized by you where feasible and permitted by law.
Withdrawal of Consent and Data Handling Post-Withdrawal:
  • You may withdraw your consent for data collection and processing by submitting a request via email to legal@yocierge.com or through the App's settings.
  • Your data will be handled according to YoCierge’s Record Retention and Destruction Policy.

Data Retention and Dormant Accounts

We retain Personal Data and Non-Personal Data for as long as your account is active or as needed to provide you access to the Application. Dormant accounts, defined as any user account that has not been accessed or actively used for a period of 7 years, will be securely deleted using industry-standard data destruction methods, unless otherwise specified by contractual obligations.

Transfer of Ownership

In the event of a transfer of ownership of the Service or Application, your account and data will be treated in accordance with these Terms and the YoCierge's Privacy Policy. You will be notified of any changes in ownership via email, website updates, or in-app notifications.

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Pennsylvania, United States, without regard to its conflict of law provisions.
